We understand the significance of your decision to sell your business.
We will give you an open, honest and timely indication of our interest in your company.
Because our experience is as operators, we will focus first on understanding the success
factors that drive your business, and then we will study the financial aspects of your
company. We will outline a timetable of how we will proceed to closing.
Understanding Your Objectives
We will meet with you personally to understand your objectives and requirements. This
will include gaining an understanding of the special needs and concerns that you have—such
as family members in the business, or your desire to continue in an ownership position,
whether active or passive. We will communicate our thoughts on how we can meet your
objectives while creating long-term value.
Understanding Your Business and Due Diligence
Our dedicated team will work with you, your staff and advisors to quickly gain an in-depth
understanding of your business. At the appropriate time, and with your consent and
involvement, this understanding will include discussions with key suppliers, customers and
other stakeholders. These activities will enable us to confirm a fair and realistic
valuation for your business. You can expect at least two senior members of our team to
work personally through this process with you and your team.
Valuation and Transaction Structure
There are many considerations in developing the appropriate valuation and structure for
the transaction. These include industry dynamics and drivers, current profitability and
trends, capital requirements, competitive position, customer and supplier concentration,
and growth prospects. Our professionals will assess these factors and present a valuation
range and preliminary structure to you. During this meeting, we will also discuss our
preliminary diligence findings and seek your viewpoint for consideration.
Your objectives and requirements are unique. We are flexible in our
approach to the financial structure of each transaction, and we believe that successful
deals begin with a careful alignment of mutual interests. We welcome owners who wish to
remain involved with the business, whether financially or operationally.
Most owners prefer “cash at closing” to other forms of value. Where
possible, we seek to maximize that portion of closing consideration. We also believe in
adding to purchase price by using subordinated notes, contingent payments and other
incentive-oriented forms of consideration. From a financial perspective, TCG is well
positioned and experienced in accessing capital to quickly consummate deals across a wide
range of transaction structures.
Partnering with Management
We believe that people are the engine of a successful business enterprise. Your
management team, and their ability to effectively execute strategies, tactics and
operational details, is critical to the on-going success of the business. We believe in
both short and long-term financial incentives for key people. We will work with you and
management to understand and maintain appropriate compensation incentives and programs
that align with strategies, objectives and performance goals.
When required, we will access our network of relationships and advisory
board members to identify additional resources, including external personnel, to
strengthen the organization. We believe an open and collaborative relationship with the
management team is essential to success.
